Terms & Conditions

From concept to completion, we offer full-range capabilities across every stage of garment production. Our services span design and development, fabric sourcing, manufacturing, embellishment, washing and finishing, branding, and packaging.

No order shall be considered binding until a written order confirmation has been issued by Purl Studios. The confirmation shall state the agreed styles, quantities, unit price, delivery terms and production schedule, and shall prevail over any conflicting terms contained in the Buyer's purchase order.

All goods shall be produced in accordance with the tech pack, artwork, measurement chart and approved samples supplied or approved by the Buyer. Any change to specifications after production has commenced must be requested in writing and may affect price, lead time and minimum quantities. Purl Studios shall not be liable for deviations arising from incomplete, ambiguous or late specifications provided by the Buyer.

Development, fit and pre-production samples shall be supplied for the Buyer's review, and sampling charges, where applicable, shall be advised before development begins. Bulk production shall commence only after written approval of the pre-production sample. Approval of a sample constitutes acceptance of its construction, fit, trims and colour standard for the corresponding bulk order.

Fabrics, trims and accessories shall be sourced to the approved quality, composition and colour standard. Natural variation in shade, hand feel and weave is inherent to textile production and shall not constitute a defect where it falls within commercially accepted tolerances. Where the Buyer nominates a supplier, responsibility for that supplier's quality, pricing and delivery performance rests with the Buyer.

Prices are quoted per unit in the currency stated on the order confirmation and are based on the specifications, quantities and raw-material costs prevailing at the time of quotation. Unless otherwise agreed in writing, an advance deposit is payable on order confirmation and the balance prior to shipment. Bank charges, duties and taxes levied outside the country of manufacture are payable by the Buyer.

Each style, fabric and colourway is subject to the minimum order quantity advised at the time of quotation. Orders placed below the stated minimum may be accepted at an adjusted unit price to cover set-up, sourcing and handling. Minimums are driven by mill and trim supplier requirements and shall be confirmed in writing before production begins.

Lead times are calculated from the date of receipt of the advance payment or the date of written approval of the pre-production sample, whichever is later. Estimated dates are given in good faith and may be adjusted for delays in approvals, raw-material availability or circumstances beyond our reasonable control. Purl Studios shall notify the Buyer promptly of any anticipated deviation from the confirmed schedule.

In-line and final inspections shall be carried out in accordance with the AQL standard agreed at the time of order confirmation. The Buyer, or a third-party inspector nominated by the Buyer, may inspect the goods at the factory prior to shipment subject to reasonable notice. Claims relating to quality must be raised in writing within fifteen (15) days of receipt of the goods and supported by evidence.

A tolerance of plus or minus five percent (±5%) on the confirmed order quantity is standard in apparel manufacturing and shall be accepted by the Buyer. Invoicing shall be based on the quantity actually shipped. Where a stricter tolerance is required, it must be agreed in writing before production begins and may affect the unit price.

Goods shall be packed, labeled and cartoned in accordance with the Buyer's approved packing instructions. Care labels, size labels, hangtags and barcodes shall be produced to the artwork supplied and approved by the Buyer. Purl Studios shall not be responsible for the accuracy of legal or regulatory label content supplied by the Buyer for its destination market.

Goods shall be delivered in accordance with the Incoterm stated on the order confirmation, and risk and title shall pass in accordance with that term. Freight forwarders nominated by the Buyer shall be booked at the Buyer's cost and risk. Partial shipments may be made where agreed, and each shipment shall be treated as a separate delivery for invoicing purposes.

Purl Studios shall issue the commercial invoice, packing list and certificate of origin required for export from the country of manufacture. Additional documentation — including inspection certificates, GSP forms or laboratory test reports — shall be provided where requested and may be subject to additional charges. Import clearance, duties and regulatory compliance in the destination country remain the responsibility of the Buyer.

Agreement and Acceptance

The placement of an order shall constitute the Buyer's acceptance of all terms and conditions set forth herein. These terms and conditions shall supersede any prior verbal or written communications or agreements between the parties, unless expressly amended in writing and signed by both parties.

Buyer Responsibilities

The Buyer shall be responsible for providing accurate and complete specifications, artwork, and reference materials required for production. The Buyer shall review and approve samples, tech packs, and pre-production references within the timeframe communicated at the time of order confirmation. Any delay on the Buyer's part in providing approvals, feedback, or requested changes shall extend the production timeline accordingly, and responsibility for any resulting delays shall rest with the Buyer. The Buyer shall further ensure that payments are remitted in accordance with the agreed schedule and terms.

Our Responsibilities

We shall produce all goods strictly in accordance with the specifications, quantities, and quality standards approved by the Buyer. We shall maintain the agreed quality standards throughout the production process and shall promptly notify the Buyer of any anticipated delays or deviations from the agreed timeline. We shall further ensure that goods are appropriately packaged, labeled, and documented in preparation for shipment, in accordance with the agreed terms.

Delivery terms shall be governed by Incoterms 2020, as applicable. The specific term Free On Board (FOB), Cost, Insurance and Freight (CIF), Ex Works (EXW), or Delivered Duty Paid (DDP) shall be clearly specified in the order confirmation or commercial invoice and shall determine the respective responsibilities of the parties with regard to shipping, insurance, customs clearance, and risk transfer.

Payments shall be made by telegraphic transfer or irrevocable letter of credit as specified in the order confirmation. Where a letter of credit is used, it shall be opened through a first-class bank and shall be workable against the documents listed in the confirmation. Goods remain the property of Purl Studios until payment has been received in full.

All goods shall be manufactured to the quality standard approved by the Buyer at pre-production stage and inspected against the agreed AQL level before shipment. Testing for shrinkage, colour fastness and fibre composition shall be carried out at an accredited laboratory where required. Goods meeting the approved standard and the agreed tolerances shall be deemed conforming.
